1. Acceptance of Terms
By accessing or using the website, products, or services provided by 2DEC Technologies Limited ("2DEC", "we", "us", "our"), you agree to be legally bound by these Terms and Conditions. If you do not agree to any part of these Terms, you must not use our website or services. These Terms apply to all visitors, users, customers, and others who access or use our services. By creating an account or placing an order, you confirm that you have read, understood, and agreed to these Terms.
2. Acceptable Use
You agree to use our services only for lawful purposes and in a manner that does not infringe the rights of others. You must not: • Use our services in violation of any applicable local, national, or international law or regulation • Transmit any unsolicited or unauthorised advertising or promotional material • Attempt to gain unauthorised access to any part of our services, systems, or networks • Use our services to transmit, store, or distribute malicious code, viruses, or harmful content • Engage in any conduct that restricts or inhibits anyone else's use or enjoyment of our services • Scrape, crawl, or harvest data from our platforms without our prior written consent • Impersonate any person or entity or misrepresent your affiliation with any person or entity • Reverse engineer, decompile, or disassemble any part of our software or services We reserve the right to suspend or terminate access to our services immediately and without notice for any breach of these acceptable use provisions.
3. Subscriptions
Certain services are provided on a subscription basis. The following terms apply to all subscriptions: • Subscriptions begin on the date of purchase and automatically renew at the end of each billing period unless cancelled • You may cancel your subscription at any time through your account settings or by contacting our support team • Cancellation takes effect at the end of the current billing period; you will retain access to the service until that date • We reserve the right to modify subscription plans, features, and pricing with reasonable advance notice • Free trial subscriptions are subject to separate terms communicated at the point of sign-up • Downgrading your plan may result in the loss of access to certain features or data For enterprise or custom subscription arrangements, separate contract terms will apply as agreed in writing.
4. Payments
All payments for our products and services are subject to the following terms: • All prices are displayed exclusive of VAT unless otherwise stated. VAT will be added at the applicable rate for UK customers. • Payment is due in advance for subscription services. We accept major credit and debit cards and other payment methods as displayed at checkout. • By providing payment details, you authorise us to charge the applicable fees on the agreed billing schedule. • Failed payments may result in service interruption. We will notify you before suspending access. • All charges are non-refundable except as set out in our Refund Policy (see Section 5). • We use industry-standard payment processors and do not store your full card details on our servers. If you believe an error has been made in billing, please contact us at sales@2dectechnologies.com within 30 days of the charge.
5. Refunds
Our refund policy is as follows: • Free plan users: No payments are taken, so no refunds are applicable. • Paid subscriptions: We do not offer refunds for partially used billing periods following cancellation. Access continues until the end of the paid period. • Annual plans: We may offer a pro-rata refund within 14 days of initial purchase if you contact us and have not made significant use of the service. After 14 days, no refund will be issued. • Technical failures: If we are unable to provide the service due to a fault on our part for a sustained period, we will assess refund or credit requests on a case-by-case basis. To request a refund, contact us at sales@2dectechnologies.com with your account details and the reason for your request. Refunds, where approved, will be issued to the original payment method within 10 business days.
6. Intellectual Property
All intellectual property rights in our website, platforms, products, software, content, trademarks, and materials ("IP") are and shall remain the exclusive property of 2DEC Technologies Limited or our licensors. You are granted a limited, non-exclusive, non-transferable, revocable licence to use our services for their intended purpose only. This licence does not include the right to: • Copy, reproduce, distribute, or create derivative works from our IP • Use our trademarks, logos, or brand assets without prior written consent • Sub-licence, sell, or transfer access to our services to any third party • Use any of our IP for any commercial purpose outside the scope of your subscription You retain all rights to data and content you upload to our platforms ("Customer Data"). By uploading Customer Data, you grant us a limited licence to store, process, and use that data solely to provide the services to you. Any feedback, suggestions, or ideas you provide to us may be used by us without restriction or compensation.
7. Limitation of Liability
To the fullest extent permitted by applicable law: • 2DEC Technologies Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunity • Our total aggregate liability to you for any claims arising out of or relating to these Terms or our services shall not exceed the total fees paid by you to us in the 12 months preceding the claim • We do not warrant that our services will be uninterrupted, error-free, or free from viruses or other harmful components • We are not liable for any loss or damage caused by events outside our reasonable control (force majeure) Nothing in these Terms shall limit or exclude liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law. Our services are provided for business use. If you are a consumer, you may have additional statutory rights that are not affected by these Terms.
8. Termination
Either party may terminate the agreement formed by these Terms at any time: • You may terminate by cancelling your subscription and ceasing use of our services • We may terminate or suspend your access immediately and without notice if: - You materially breach these Terms and fail to remedy the breach within 7 days of written notice - You engage in conduct that we reasonably consider harmful to our services, other users, or our business - We are required to do so by law or a regulatory authority - You become insolvent or subject to insolvency proceedings Upon termination, your right to use the services ceases immediately. We will retain your data for 30 days following termination to allow you to export it, after which it will be deleted in accordance with our data retention policy. Sections of these Terms that by their nature should survive termination (including Intellectual Property, Limitation of Liability, and Governing Law) shall survive.
9. Governing Law
These Terms and Conditions and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales. The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms. If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. These Terms constitute the entire agreement between you and 2DEC Technologies Limited with respect to your use of our services and supersede all prior agreements, representations, or understandings.
10. Changes to These Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by: • Posting a notice on our website • Sending an email to the address associated with your account (where applicable) • Displaying an in-app notification Changes take effect 30 days after notification unless they are required by law, in which case they take effect immediately. Your continued use of our services after the effective date of any changes constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you should stop using our services and cancel your subscription before the changes take effect.
